Network Stylist Agreement
As a prospective Independent Network Stylist (referred to herein as a “Stylist”), I understand and agree that my relationship with Everyday Style, LLC (herein referred to as “Everyday Style”), shall be governed by the following terms and conditions:
Agreement:
Stylists must read the Network Stylist Agreement in full. The purchase of the Training Program requires the reading and acceptance of the Stylist Agreement. Once payment has been submitted, this agreement is active.
Independent Stylist Status:
It is expressly understood that I am entering into this Agreement as an independent contractor who is responsible for my own business activities with sole control over the manner and means of my performance under this Agreement. I am solely responsible for setting my work hours and prices, and for paying for expenses incurred by me in the operation of my business. I UNDERSTAND THAT I AM NOT AN EMPLOYEE OR AGENT OF EVERYDAY STYLE AND I WILL NOT BE TREATED AS AN EMPLOYEE FOR FEDERAL OR STATE TAX PURPOSES.
I understand that it is my responsibility to know and follow all licensing guidelines applicable to me, dependent on my location.
I understand that I am not an employee of Everyday Style and shall not be entitled to receive any benefits from Everyday Style whatsoever. Everyday Style shall not be required to make contributions for employment insurance, Workers’ Compensation and other similar levies in respect of payments to be made. ! shall be fully responsible for paying all applicable federal and state/provincial withholding taxes, income taxes, and other levies, premiums, license requirements and fees related to my earnings and activities as a Stylist. I agree that as a Stylist, I am an independent contractor, and not an employee, agent, partner, legal representative or franchisee of Everyday Style. I am solely responsible for paying all expenses incurred by myself. I have and maintain control of the manner and means of my performance. I have no power or authority to incur any debt, obligation or liability on Everyday Style’s behalf.
Use of Everyday Style Intellectual Property.
I acknowledge that Everyday Style has granted me a limited, non-exclusive, non-transferable license to use certain logos and trade names while I am a certified Stylist in good standing and that my use of Everyday Style Intellectual property shall at all times comply with the terms of the Agreement as well as any policies and procedures published by Everyday Style. I agree that I shall not use any material that is confusingly similar to the Everyday Style Intellectual Property in any email address, website domain name, social media name, or branding.
In addition, I acknowledge that Everyday Style has granted me access to copyrighted materials for the purpose of training and support. At no time will I copy, duplicate, replicate or share any part of these materials for use in my own business. The copyrighted materials I have been given access to as a Stylist cannot be shared with clients.
All rights and licenses related to my use of Everyday Style Intellectual Property under this Agreement shall automatically terminate upon termination of this Agreement. I further understand that Everyday Style may revoke this limited license during the term of this Agreement at its sole discretion.
Confidentiality
I understand that as a Stylist, I may have access to information and materials about Everyday Style and/or the businesses of other Stylists. I agree to keep any information regarding business practices, processes, pricing, revenue or other goals confidential. I agree that any wrongful disclosure of the lists or the information on the lists will cause immediate and irreparable damage to Everyday Style and that Everyday Style may pursue all legal remedies available against me if I violate this provision. This provision will survive the termination of my Network Stylist Agreement.
Transferability
Neither this Agreement nor my Certification may be transferred or assigned by me or operated in partnership with any other person.
Services Offered
As a Network Stylist, I understand that I am certified to provide one-on-one services to female clients, either in person or online, or group programs that take place solely in person.
I agree that I will not offer online group services, or digital products for which I am compensated for a period of two years from date of Agreement, or six months after my Certification ends, whichever is longer. This includes, but is not limited to, online classes or courses (either live or pre-recorded), eBooks or digital guides. This provision will survive a lack or termination of certification and remain in place until the above timeframe is satisfied.
No Exclusive Territories
I understand that no franchise is granted and there are no exclusive territories for sales, service, or marketing purposes.
Ethical Conduct
As a Stylist, I agree to conduct my business with the highest standards of honesty and integrity. I agree to refrain from making negative, disparaging, untrue, or misleading comments about the Company, its owners, associates, other Network Stylists. I also agree not to engage in activities, online or in-person that may cause harm to Everyday Style or any other Stylist.
Legal Compliance
I agree to comply with all federal, state, and local statutes and regulations concerning the operation of my business. I am responsible for my own decisions and expenditures, including estimated taxes and self-employment taxes.
I release Everyday Style, LLC from any and all claims on my business resulting from my actions.
Independent Stylist Website
I agree to maintain a functional website as long as I am a certified Network Stylist. I am responsible for the development and functional maintenance of the site, as well as keeping content updated.
I understand that my domain name may not include “Everyday Style” and the look of the website must not be confusingly similar to youreverydaystyle.com. Everyday Style can, at its sole discretion, require changes in order to avoid confusion.
Independent Stylist Website
I agree to maintain a functional website as long as I am a certified Network Stylist. I am responsible for the development and functional maintenance of the site, as well as keeping content updated.
I understand that my domain name may not include “Everyday Style” and the look of the website must not be confusingly similar to youreverydaystyle.com. Everyday Style can, in its sole discretion, require changes in order to avoid confusion.
Income Guarantees
I understand that Everyday Style makes no guarantees about Stylist income and that my earning potential is solely dependent on market conditions and my actions such as business building, pricing, sales, etc..
No Claims
I acknowledge neither party will be liable to the other party for any monetary claim, except as outlined in this agreement.
Affiliate Status
Stylists in the Training Program can become affiliates of Everyday Style and receive a payout of 30% for any sale referred. Once certified, the affiliate rate will become 50%
The purpose of the affiliate program is to share products with new customers, and as such, Stylists may not share their affiliate links with established Everyday Style customers. Doing so will result in a loss of the commission and removal from the Affiliate program.
Solicitation of Business
I understand Stylists may not use the Everyday Style Facebook page, nor any group administered by Everyday Style to solicit business, drive people to my website, or in any way establish myself as a wardrobe stylist.
As such, once this agreement is enacted, I understand I will no longer be able to become a member of any group managed by Everyday Style. If I am currently in a Seasonal Community, I understand I may finish out the season, provided that I am there as a guest, not a person building a business. If it appears I am there for business purposes, Everyday Style may, at its sole discretion, remove me from the group.
Training Program Considerations
I understand that once I have made payment for the Style Network Training Program, this agreement is in full effect, and I am bound by its terms.
Payment can be made in full, or in monthly installments. Monthly payments are not a membership that can be stopped. I acknowledge that I owe the full balance, and am liable for paying it in its entirety, even if I choose not to become a Stylist.
I understand that in order to become a Certified Stylist, I must
- Attend the live training session in its entirty
- Complete 30 practice hours with at least 6 different clients
- Get feedback from at least 4 different clients via Google Feedback form
- Submit my operational website for review
- Sumbit photos of my closet organized The Everyday Style way
- Pass the Stylist exam
I acknowledge that the training program offers me training, support, and accountability for 6 months from the date of the live training session. If I have not been certified within that time, I understand I will be removed from the Facebook community and will lose access to training materials and support. I can regain access to the materials, support, and community as long as I am certified within 18 months of the training program’s end date. I understand that I must meet current certification guidelines, including any that may have changed within that time.
If I am not certified within the Training Program’s timeframe or the following 18 months, my relationship with The Style Network, and this agreement will be terminated. Until that time, I am bound by all conditions of this agreement.
No portion of the Training Program fee will be refunded for any reason. I understand I can apply my payments to the next Training Session.
Certification Considerations
Once I have fulfilled the requirements of the Training Program, I am eligible to become a Certified Network Stylist.
To do so, I must pay the annual certification fee.
Each year, I will be charged the same amount as my original certification fee (discounts excluded) to renew my certification. Failure to renew within 14 days will result in loss of certification, and I am subject to all rules regarding termination.
I understand that, provided I am in good standing, I can renew my certification within 12 months of termination by meeting all current requirements and paying the current certification fee.
I understand that it is up to me to make the most of my certification by keeping my website maintained, attending ongoing training, and participating in business-building activities.
I acknowledge that Everyday Style makes no guarantees of the number or quality of referrals from my website listing on youreverydaystyle.com
Termination
Everyday Style can terminate the Stylist relationship for the following:
- Stylist discredits Everyday Style’s name, goodwill, or products/services.
- Stylist violates any provision in the contract.
A Stylist can choose to terminate their certification by:
- Not paying the annual certification fee.
- Sending an email to network@youreverydaystyle.com requesting to terminate certification
In the event of a termination:
- Stylist will lose access to all program materials, trainings, and support
- Stylist must remove all approved logos from website within 5 days
- Stylist affiliate rate will be moved from 50% to 30%
No part of the certification fee will be refunded for any reason.
